1. Acceptance of Terms
By submitting a partner application or using the GoTravelGates Partner Console, you ("Partner") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use our services. GoTravelGates Co., Ltd. ("GTG") reserves the right to update these Terms at any time with notice.
2. Partner Eligibility
- Partners must be legally registered businesses (or self-employed individuals) operating in Thailand or offering services to travellers in Thailand.
- Partners must hold all required licences, permits, and insurance to operate their products and services.
- GTG reserves the right to reject or terminate any partner account at its sole discretion.
3. Listings and Product Information
- Partners are responsible for the accuracy, completeness, and legality of all listing information, including descriptions, pricing, photos, inclusions, and exclusions.
- Partners must not list products that are illegal, harmful, misleading, or that infringe third-party intellectual property rights.
- GTG may edit, reject, or remove any listing that violates these Terms or GTG's content standards.
- All prices must be inclusive of applicable taxes unless otherwise agreed in writing.
4. Bookings and Availability
- Partners must maintain accurate real-time availability in the console. Overbooking and cancellations due to Partner error may result in penalty fees.
- Once a booking is confirmed, Partners must honour it unless the customer cancels under the Partner's stated cancellation policy.
- Partners must be reachable and responsive to GTG support messages within 24 hours on business days.
5. Commission and Payments
- GTG charges a commission on each confirmed booking, as agreed during onboarding and displayed in the Partner Console.
- Partner payouts are issued on a weekly or bi-weekly cycle (depending on account tier) after deducting GTG's commission and any applicable taxes.
- GTG withholds payment for bookings under active dispute until the dispute is resolved.
- Partners are responsible for their own tax obligations on income received from GTG.
6. Cancellations and Refunds
- Partners must set a clear cancellation policy for each product. Customers are refunded according to that policy.
- If a Partner cancels a confirmed booking without valid cause, GTG may issue a full refund to the customer and charge the Partner accordingly.
- GTG's Traveller Protection Policy may override Partner cancellation policies in exceptional circumstances (force majeure, safety risks, etc.).
7. Quality and Safety
- Partners must maintain adequate safety standards and equipment for all products operated.
- GTG may suspend listings in response to repeated negative reviews, safety complaints, or regulatory actions.
- Partners indemnify GTG against all third-party claims arising from the Partner's products or actions.
8. Intellectual Property
- Partners grant GTG a non-exclusive, royalty-free licence to display, reproduce, and distribute all listing content (text, images, videos) on the GTG marketplace and marketing materials.
- Partners must only upload content they own or have the right to use. GTG is not liable for Partner IP infringement.
9. Confidentiality
Both parties agree to keep confidential any non-public information shared in the course of the partnership, including pricing, business data, and customer information, except as required by law.
10. Termination
- Either party may terminate the partnership with 30 days' written notice.
- GTG may terminate immediately upon breach of these Terms, fraudulent activity, or actions that damage GTG's reputation.
- On termination, outstanding payouts for confirmed bookings will be settled within 30 days after any pending disputes are resolved.
11. Limitation of Liability
GTG's liability to a Partner is limited to the commission fees paid by GTG to the Partner in the 3 months preceding the claim. GTG is not liable for indirect, consequential, or punitive damages.
12. Governing Law
These Terms are governed by the laws of the Kingdom of Thailand. Any disputes shall be submitted to the courts of Thailand.
